Terms of service

These terms are the license agreement between you and Closedbase ("we"), which operates Closedbase. By connecting a QuickBooks Online company to Closedbase, or by using Closedbase as a member of an accounting firm's staff, you agree to them.

What Closedbase does

Closedbase reads financial data from QuickBooks Online companies that have been connected to it, and delivers reports to the accounting firm that manages each company. It only reads. It never changes data in QuickBooks Online.

Who may use it

Closedbase is for accounting firms and their authorized staff, and for the QuickBooks Online companies those firms serve. You may connect a QuickBooks Online company only if you are allowed to give Closedbase access to it, and only with the agreement of the business that owns it.

License

We give you a limited, non-exclusive, non-transferable right to use Closedbase for your firm's or your business's own work while these terms apply. You may not copy, resell, or reverse engineer Closedbase, try to reach data that is not yours, or use it to break the law or Intuit's terms.

Reports

Reports reflect the data in QuickBooks Online when they are exported. Closedbase does not give accounting, tax, or legal advice. The accounting firm remains responsible for reviewing the reports and any work based on them.

Data

Our privacy policy explains what data Closedbase handles and how. The data in your QuickBooks Online company remains yours.

Disconnecting and ending use

You can disconnect Closedbase from QuickBooks Online at any time. Closedbase then stops reading from that company. We may suspend access that breaks these terms or puts other customers' data at risk.

No warranty

Closedbase is provided as is. We work to keep it available and accurate, but we do not promise that it will be uninterrupted or error-free. To the extent the law allows, we are not liable for indirect or consequential losses arising from its use.

Changes

If we change these terms, we will update the date at the top of this page. Continuing to use Closedbase after a change means you accept the new terms.

Governing law

These terms are governed by the laws of the State of Utah, without regard to its conflict-of-law rules.
